Terms & Conditions

These Terms and Conditions apply to the provision of the services detailed in our quotation by SapienceS2P Ltd., registered in England and Wales under number 11559232, with offices at 3 More London Place, Riverside, London, SE1 2RE. Acceptance occurs when you accept the quotation or when service performance begins, whichever comes first — the quotation and these terms constitute the complete agreement between parties.

Application and Entire Agreement

You acknowledge that you have not relied on any statement, promise or representation made or given by or on our behalf. These conditions supersede any other terms you attempt to impose through trade, custom, or practice.

Interpretation

A business day excludes Saturdays, Sundays, and English/Welsh bank holidays. Section headings are organizational only. Singular and plural forms are interchangeable.

Services

We warrant reasonable care and skill in our performance of the Services, which will comply with the quotation. Changes may occur to satisfy legal or safety requirements, with notification provided.

We will use our reasonable endeavours to complete the performance of the Services within the time agreed, though time is not essential. These terms apply to goods and services alike unless specified otherwise.

Your Obligations

Customers must secure necessary permissions, provide access to information and materials, and furnish other required resources. Non-compliance permits service termination, and delays caused by customer failure are not our responsibility.

Fees and Deposit

Fees are time-and-materials based per quotation. In addition to the Fees, we can recover from you reasonable incidental expenses, including travel and hotel costs, third-party service costs, and required materials.

Additional services

Follow our current hourly rates. The Fees are inclusive of any applicable VAT and other taxes or levies which are imposed or charged.

Deposit

A deposit must be paid within 14 days of acceptance and is non-refundable unless we fail to deliver services due to our fault.

Cancellation and Amendment

Quotations may be withdrawn, cancelled, or amended if not accepted within seven days or before service commencement. Either party can cancel prior to quotation acceptance or rejection.

Written amendment requests are addressed with reasonable efforts; additional costs are invoiced. If, due to circumstances beyond our control, the services require modification, notification occurs immediately with minimized changes.

Payment

Invoicing occurs upon service completion or on dates specified in the quotation. You must pay the Fees due within 30 days of the date of our invoice, or per agreed credit terms. Time for payment shall be of the essence of the Contract.

  • Late payment incurs 4% annual interest above the Bank of England base rate.
  • Full payment is required without deductions, offsets, or counterclaims except as legally mandated.
  • Non-payment permits service suspension and cancellation of future orders.
  • Payments must be in British Pounds unless written agreement specifies otherwise.

Subscriptions and Cancellation Policy

Subscriptions authorize periodic charges until cancellation or pre-arranged termination. Your account will be charged automatically on the Subscription Billing Date for all applicable fees for the next subscription period.

Cancelling a subscription

You must cancel your subscription before it renews to avoid your account being billed. Cancellation is available via customer services, our website, the support framework, or email at info@sapiences2p.com.

Sub-Contracting and Assignment

We may assign, transfer, or subcontract rights and obligations to third parties. Customers cannot assign their rights or obligations without our prior written consent.

Termination

Immediate termination is permitted if the customer materially breaches obligations, fails payment, faces bankruptcy proceedings, enters insolvency arrangements, or experiences administration or liquidation events.

Intellectual Property

We reserve all copyright and any other intellectual property rights which may subsist in any goods supplied in connection with the provision of the Services.

Liability and Indemnity

Total liability is capped at total fees paid. We are not liable for indirect, special, or consequential losses, including lost profits, data, reputation, or business interruption, nor for failures beyond reasonable control or arising from customer breach.

Customers indemnify us against damages from equipment loss or damage caused by customer actions. Nothing in these Terms and Conditions shall limit or exclude our liability for death or personal injury caused by our negligence, or for any fraudulent misrepresentation.

Data Protection

When processing customer employee personal data, the customer is the data controller and we are the data processor under GDPR regulations. Processing occurs only as reasonably required for service delivery, with no unnecessary retention.

No unauthorised disclosure

We shall not disclose Personal Data to any third parties except employees, directors, or agents on a need-to-know basis. Technical and organizational security measures protect processed data. Further details appear in our Privacy Policy; data inquiries go to info@sapiences2p.com.

Circumstances Beyond Our Control

Neither party is liable for failures from causes beyond reasonable control, including industrial action, natural disasters, terrorism, or war. If the delay continues for a period of 90 days, either of us may terminate or cancel the Services.

Communications & General

Communications

Written, signed notices satisfy notification requirements. Delivery timing varies by method: couriers during business hours, fax/email upon successful transmission, ordinary mail on the fifth business day, and airmail on the tenth business day. Notices must address the recipient's most recent contact information.

No waiver & severance

Non-exercise of rights or remedies doesn't constitute waiver of current or future remedies. If provisions are found unlawful, they're severed while remaining terms stay valid.

Law and jurisdiction

English and Welsh law governs this agreement, with exclusive jurisdiction in English and Welsh courts.
